Atkins\u2019 <a href=\"https:\/\/seciblog.pli.edu\/index.php\/chairman-atkins-discusses-his-act-strategy-and-commission-priorities\/\">ACT strategy<\/a>, and following the May 5, 2026, <a href=\"https:\/\/seciblog.pli.edu\/index.php\/sec-proposes-rules-to-permit-optional-semiannual-reporting\/\">proposal for optional semiannual reporting<\/a>, on May 19, 2026, the SEC proposed two major groups of amendments.\u00a0 The proposals would:<\/p>\n<p style=\"font-weight: 400; padding-left: 40px;\">Change the rules and forms for registered offerings to \u201cincrease efficiency, flexibility and cost savings for public companies while maintaining robust investor protections\u201d, and<\/p>\n<p style=\"font-weight: 400; padding-left: 40px;\">Simplify the public company reporting rules to \u201cbetter calibrate disclosure obligations with a company\u2019s size and maturity.\u201d<\/p>\n<p style=\"font-weight: 400;\">As you can read in the related <a href=\"https:\/\/www.sec.gov\/files\/33-11418-fact-sheet.pdf\">Fact Sheet<\/a>, the proposed <strong>registered offering reform changes<\/strong> include:<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Expanding eligibility to use Form S-3 and the shelf-registration process,<\/li>\n<li>Enhancing registration and communication benefits in the offering process,<\/li>\n<li>Allowing more broker-dealer research coverage,<\/li>\n<li>Providing for preemption of state securities law registration and qualification requirements for registered offerings where securities will not be listed, and<\/li>\n<li>Expanding provisions for both forward and backward incorporation by reference on Form S-1.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">The commission estimates the proposals would increase the number of issuers eligible to use Form S-3 by 60% and increase the number of issuers eligible to use forward incorporation by reference in Form S-1 by 106%.<\/p>\n<p style=\"font-weight: 400;\">The <a href=\"https:\/\/www.sec.gov\/files\/33-11419-fact-sheet.pdf\">Fact Sheet<\/a> for the proposals to <strong>change the public company reporting framework<\/strong> would:<\/p>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Increase the threshold for becoming a large-accelerated filer to $2 billion,<\/li>\n<li>Provide that all other companies would be non-accelerated filers,<\/li>\n<li>Make nearly all the current smaller reporting company disclosure accommodations available to non-accelerated filers,<\/li>\n<li>Exempt all non-accelerated filers from the SOX 404 auditor\u2019s attestation report requirement,<\/li>\n<li>Create a category of small non-accelerated filers that would have longer Form 10-K and Form 10-Q deadlines, and<\/li>\n<li>Provide that a newly public company would not become an accelerated filer for at least 60 months, regardless of public float.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">The Commission estimates that if the proposal is enacted 19.2 percent of current filers will be large accelerated filers and 80.8 percent will be non-accelerated filers.<\/p>\n<p style=\"font-weight: 400;\">Both proposals will have a 60-day comment period.\u00a0 You can read more and find links to the proposed rules in this <a href=\"https:\/\/www.sec.gov\/newsroom\/press-releases\/2026-46-sec-proposes-transformative-reforms-help-public-companies-conduct-registered-offerings-simplify\">Press Release<\/a>.<\/p>\n<p style=\"font-weight: 400;\">Still to come are the expected proposals to change many Regulation S-K reporting requirements.<\/p>\n<p style=\"font-weight: 400;\">As always, your thoughts and comments are welcome!<\/p>\n","protected":false},"excerpt":{"rendered":"<p>As part of SEC Chairman Paul S.
