{"id":2729,"date":"2023-09-26T08:44:50","date_gmt":"2023-09-26T12:44:50","guid":{"rendered":"https:\/\/seci.wpenginepowered.com\/?p=2729"},"modified":"2023-09-26T08:44:55","modified_gmt":"2023-09-26T12:44:55","slug":"another-12b-25-enforcement-sweep-2","status":"publish","type":"post","link":"https:\/\/seciblog.pli.edu\/index.php\/another-12b-25-enforcement-sweep-2\/","title":{"rendered":"Another 12b-25 Enforcement Sweep"},"content":{"rendered":"<p style=\"font-weight: 400;\">We\u2019d like to again remind our readers that Form 12b-25 is not an automatic extension for quarterly and annual reports.\u00a0 In a prior blog <a href=\"https:\/\/seciblog.pli.edu\/a-timely-form-12b-25-reminder-from-sec-enforcement\/\">post<\/a>, we discussed an enforcement sweep in which <a href=\"https:\/\/www.sec.gov\/news\/press-release\/2021-76\">eight companies<\/a> paid fines for failing to disclose \u201canticipated restatements\u201d in Form 12b-25.<\/p>\n<p style=\"font-weight: 400;\">On August 22, 2023, the SEC <a href=\"https:\/\/www.sec.gov\/enforce\/34-98192-s\">announced<\/a> another sweep that caught five companies for exactly the same issue, failing to disclose \u201canticipated restatements.\u201d\u00a0 These companies restated their financial statements within three to twenty-one days after filing Form 12b-25.<\/p>\n<p style=\"font-weight: 400;\">As a reminder, Part III of Form 12b-25 includes this instruction:<\/p>\n<p style=\"font-weight: 400; padding-left: 40px;\">State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.<\/p>\n<p style=\"font-weight: 400; padding-left: 40px;\">(Attach extra Sheets if Needed)<\/p>\n<p style=\"font-weight: 400;\">As always, your thoughts and comments are welcome!<\/p>\n","protected":false},"excerpt":{"rendered":"<p>We\u2019d like to again remind our readers that Form 12b-25 is not an automatic extension for quarterly and annual reports.\u00a0 In a prior blog post, we discussed an enforcement sweep in which eight companies paid fines for failing to disclose \u201canticipated restatements\u201d in Form 12b-25.
