{"id":2146,"date":"2022-03-09T14:44:31","date_gmt":"2022-03-09T19:44:31","guid":{"rendered":"https:\/\/seci.wpenginepowered.com\/?p=2146"},"modified":"2022-03-09T14:44:31","modified_gmt":"2022-03-09T19:44:31","slug":"sec-proposes-rules-on-cybersecurity-disclosures","status":"publish","type":"post","link":"https:\/\/seciblog.pli.edu\/index.php\/sec-proposes-rules-on-cybersecurity-disclosures\/","title":{"rendered":"SEC Proposes Rules on Cybersecurity Disclosures"},"content":{"rendered":"<p>On March 9, 2022, in a highly anticipated meeting, the <a href=\"https:\/\/www.sec.gov\/news\/press-release\/2022-39\">SEC proposed rules<\/a> that would require enhanced disclosures about material cybersecurity incidents and public companies\u2019 policies and procedures surrounding cybersecurity risk.<\/p>\n<p>As you can read in the accompanying <a href=\"https:\/\/www.sec.gov\/files\/33-11038-fact-sheet.pdf\">Fact Sheet<\/a>, the <a href=\"https:\/\/www.sec.gov\/rules\/proposed\/2022\/33-11038.pdf\">Proposed Rule<\/a> would:<\/p>\n<ul>\n<li>Require disclosure on Form 8-K of material cybersecurity incidents,<\/li>\n<\/ul>\n<ul>\n<li>Require periodic updating of information about previously disclosed incidents, and<\/li>\n<\/ul>\n<ul>\n<li>Require periodic disclosures including policies and procedures to identify and manage cybersecurity risks, management\u2019s role in such policies and procedures, and information about board expertise and oversight of cybersecurity risk.<\/li>\n<\/ul>\n<p>The <a href=\"https:\/\/www.sec.gov\/rules\/proposed\/2022\/33-11038.pdf\">Proposed Rule<\/a> will have a comment period of 60 days from publication on the SEC\u2019s website or 30 days after publication in the Federal Register, whichever is longer.<\/p>\n<p>As always, your thoughts and comments are welcome!<\/p>\n","protected":false},"excerpt":{"rendered":"<p>On March 9, 2022, in a highly anticipated meeting, the SEC proposed rules that would require enhanced disclosures about material cybersecurity incidents and public companies\u2019 policies and procedures surrounding cybersecurity risk.
